Udyog Odisha Reverse Auction System
Introduction
This Buyer & Bidding Policy (“Policy”) governs the use of the Reverse Auction system on the Udyog Odisha platform (“Platform”) by Buyers and Vendors. It sets out the expectations for genuine bidding, the role of the Platform, and the handling of disputes arising from transactions. By posting a Requirement or participating in a Reverse Auction, you agree to be bound by this Policy.
Genuine Bids Only
- Buyers must have a genuine intent to purchase when posting a Requirement or RFQ on the Platform.
- Requirements must accurately describe the goods or services sought, including quantity, specifications, delivery timelines, and any other material terms.
- Buyers shall not post Requirements or participate in Reverse Auctions for the purpose of market research, price‑gathering, or any other non‑commercial objective that does not involve a bona fide intent to transact.
Role of Udyog Odisha
- Udyog Odisha operates the Reverse Auction system solely as a venue provider and intermediary.
- The Platform does not own, take title to, or assume responsibility for any goods or services listed or transacted through the Reverse Auction.
- All transactions, agreements, obligations, and liabilities arising from a Reverse Auction are solely between the Buyer and the Vendor, unless expressly stated otherwise in a separate written agreement with the Company.
Bid Submission and Acceptance
Vendors participating in a Reverse Auction submit time‑bound bids in response to a Buyer’s Requirement.
Once a Buyer accepts a Vendor’s bid through the Platform, a binding agreement is formed between the Buyer and the Vendor for the supply of the goods or services at the accepted price and terms.
The accepted bid shall be treated as a legally enforceable contract between the Buyer and the Vendor, governed by the Indian Contract Act, 1872, and any additional terms agreed upon in writing.
Dispute Resolution
Disputes regarding product quality, delivery, performance, or any other aspect of the transaction are primarily between the Buyer and the Vendor.
Udyog Odisha may, at its discretion, act as a mediator to facilitate communication and resolution between the parties, but it shall not act as a judge, arbitrator, or adjudicator.
The Company shall not be liable for any losses, damages, or claims arising from disputes between Buyers and Vendors, except to the extent expressly provided in a separate written agreement.
Compliance with Laws and Platform Policies
Buyers and Vendors must comply with all applicable laws, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, and any other statutory or regulatory requirements relevant to their transactions.
Users must also comply with the Platform’s Terms of Use, Privacy Policy, and any additional guidelines or rules notified from time to time.
Enforcement and Consequences of Violation
The Company may take disciplinary action against Users who violate this Policy, including but not limited to:
- Suspension or termination of access to the Reverse Auction system.
- Removal of Requirements or bids found to be non‑genuine or in violation of the Policy.
- Reporting of serious violations to relevant authorities as required by law.
Governing Law and Jurisdiction
This Buyer & Bidding Policy shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or proceeding arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts located in Bhubaneswar, Odisha, India.
